Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “Subscriber”) and FutureSum AI, Inc., a Delaware corporation with offices at 228 Park Ave S PMB 979823, New York, NY 10003-1502, doing business as Latimer.AI (“Latimer,” “we,” “our,” or “us”). These Terms govern your access to and use of Latimer.AI's website (www.latimer.ai), software, application programming interfaces (APIs), services, and related content (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

1. Changes to Terms

We may revise or update these Terms at any time in our sole discretion. If we make changes, we will notify you by posting the revised Terms to the website or through another communication channel. Continued use of the Services after any change means you accept the revised Terms.

2. Accounts and Eligibility

To access or use certain features of the Services, you may be required to create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. We reserve the right to suspend or terminate your account at any time for violation of these Terms, unauthorized use, or harmful activity.

3. Subscription Fees and Changes

Latimer operates on a monthly subscription model. By subscribing, you agree to pay all applicable fees in accordance with the pricing plan selected at the time of purchase.

Fees may be changed at any time at the sole discretion of Latimer's management.
Any pricing changes will be communicated to you prior to taking effect.
All fees are non-refundable to the fullest extent permitted by law.
Failure to pay may result in suspension or termination of your access to the Services.

4. Permitted Use and Conduct

Latimer is designed for educational, research, business, and professional purposes consistent with its mission as an inclusive AI platform.

You agree not to use the Services:

In any manner that violates applicable laws or regulations.
To engage in harmful or abusive behavior toward yourself or others.
To harass, threaten, or promote hate, discrimination, or violence.
To develop competing products or misuse the Services outside their intended purpose.
To engage in conduct that, in our sole judgment, may harm Latimer, its users, or the public.

Violation of these rules may result in immediate termination of your access without refund.

5. Termination of Access

We reserve the right to terminate or suspend your access to the Services at our discretion, including but not limited to:

Use of the Services outside of their intended purpose.
Behavior that is threatening, harmful, or unlawful.
Activity that causes harm to yourself, other users, or Latimer's reputation.
Violation of these Terms or any other applicable policy.

Upon termination, you must cease use of the Services immediately. Certain provisions of these Terms will survive termination, including but not limited to ownership, disclaimers, limitations of liability, and dispute resolution.

6. Intellectual Property

All content, software, and technology provided through the Services are owned or licensed by FutureSum AI, Inc. You may not reproduce, modify, distribute, or create derivative works without our prior written consent.

You retain ownership of your submitted content (“Prompts”). Latimer grants you a limited, non-exclusive right to use generated outputs for permitted uses under these Terms.

7. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the accuracy, availability, reliability, or suitability of the Services for any particular purpose.

8. Limitation of Liability

To the fullest extent permitted by law, FutureSum AI, Inc. will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim shall not exceed the amount you paid to Latimer in the six (6) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Latimer, its affiliates, officers, employees, and agents from any claims, liabilities, or damages resulting from your use of the Services or violation of these Terms.

10. Data Retention Policy

We retain user data only for as long as necessary to provide and improve our Services, comply with legal obligations, resolve disputes, and enforce agreements. Data may be stored securely in the United States or other jurisdictions. You may request deletion of your account data at any time, subject to legal and operational requirements.

11. Arbitration and Dispute Resolution

These Terms are governed by the laws of the State of New York. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered in New York, NY. By using the Services, you agree to resolve disputes through arbitration rather than court proceedings, except that Latimer reserves the right to pursue equitable relief or intellectual property claims in court.

Class actions are not permitted under this agreement. Arbitration shall be final and binding, and the arbitrator's decision shall be enforceable in any court of competent jurisdiction.

12. Governing Law and Miscellaneous

These Terms are governed by the laws of the State of New York without regard to conflict of law principles.

These Terms represent the entire agreement between you and Latimer.
If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.
Failure to enforce a right or provision does not constitute a waiver.
We reserve the right to comply with legal and law enforcement requests.
